Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Datatape platform and services (the “Service”) provided by Datatape, Inc. (“Datatape,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Overview of the Service

Datatape is a platform that enables you to connect databases and APIs, define SQL-based tools, and expose them as MCP (Model Context Protocol) endpoints. These endpoints allow authorized AI clients to securely execute predefined queries against your data sources.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account, including tool calls made via your MCP endpoints.
  • You must provide accurate and complete registration information.
  • You must notify us immediately at support@datatape.ai if you suspect unauthorized access to your account.

4. Your Data

  • Ownership: You retain all rights to your data, including your database content, SQL templates, tool definitions, and query results. Datatape does not claim ownership of your data.
  • License to Operate: You grant Datatape a limited license to access your connected data sources solely to execute the tool calls you have defined, provide audit logging, and operate the Service.
  • Credentials: You are responsible for ensuring that the database credentials and API keys you provide have appropriate permissions. We strongly recommend using read-only credentials.
  • Query Results: Query results are transmitted directly to the requesting AI client and are not stored by Datatape beyond operational logging metadata.

5. Acceptable Use

5.1 Permitted Use

Datatape is designed to enable secure, controlled access to your data sources through AI agents via MCP endpoints. You may use the Service to:

  • Connect databases and APIs that you own or are authorized to access.
  • Define SQL-based tools with parameterized templates for AI agent consumption.
  • Expose MCP endpoints to authorized AI clients for read-only data retrieval.
  • Manage team access with role-based permissions.
  • Monitor tool usage through audit logs.

5.2 Prohibited Activities

You agree not to:

Data and Access

  • Use the Service to access data you are not authorized to access.
  • Connect data sources containing information you do not have the right to process or share.
  • Expose personal data (PII, PHI, financial data) without appropriate legal basis and safeguards.
  • Circumvent or attempt to bypass read-only enforcement, scoped access controls, or authentication mechanisms.
  • Share API keys or MCP endpoint URLs with unauthorized parties.
  • Use the Service to aggregate data in violation of the source's terms of service.

Security

  • Attempt SQL injection, prompt injection, or other attacks against the Service or connected data sources.
  • Probe, scan, or test the vulnerability of the Service without written authorization.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Introduce malware, viruses, or other harmful code through tool definitions or API calls.

Legal and Ethical

  • Use the Service for any activity that violates applicable local, state, national, or international law, including data protection regulations (e.g., GDPR, CCPA, HIPAA).
  • Use the Service to facilitate discrimination, harassment, or harm to individuals.
  • Use the Service in connection with any high-risk activity where failure could lead to death, personal injury, or significant property damage (e.g., medical devices, autonomous vehicles) without appropriate safeguards.

Platform Integrity

  • Exceed your plan's usage limits through automated means or abuse the free trial.
  • Create multiple accounts to circumvent usage limits or avoid enforcement actions.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, sublicense, or redistribute access to the Service without prior written consent.

5.3 Your Responsibilities

  • Credential Security: Use read-only database credentials wherever possible. Rotate credentials regularly. Revoke access promptly for departing team members.
  • Tool Review: Review and test your SQL templates before exposing them via MCP endpoints. You are responsible for the data your tools return.
  • Access Control: Use scoped API keys and role-based access to limit who can create, modify, and use tools.
  • Compliance: Ensure your use of the Service complies with all applicable laws, regulations, and third-party agreements, including the terms of service of your data sources and AI clients.
  • Monitoring: Regularly review audit logs to identify unauthorized or unexpected tool usage.

5.4 Reporting Violations

If you become aware of any violation of this section, or any security vulnerability in the Service, please report it immediately to security@datatape.ai.

5.5 Enforcement

We reserve the right to investigate and take appropriate action against violations, including issuing warnings, suspending or throttling MCP endpoints, suspending or terminating your account, and reporting violations to law enforcement if required. We will make reasonable efforts to notify you before taking enforcement action, except where immediate action is necessary to protect the Service or other users.

6. Plans and Billing

  • Pricing: The Service is offered under subscription plans as described on our pricing page. Prices are subject to change with 30 days' notice.
  • Free Trial: New accounts receive a 7-day free trial. No credit card is required during the trial period.
  • Billing Cycle: Subscriptions are billed monthly. Payment is due at the beginning of each billing cycle.
  • Overages: If you exceed the tool call limits of your plan, we may throttle or suspend tool execution until the next billing cycle or until you upgrade your plan.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
  • Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales, use, or value-added taxes.

7. Security

  • We encrypt data source credentials at rest and in transit.
  • We enforce read-only access at the platform level using SQL validation (SQLGlot).
  • We provide scoped API keys and OAuth 2.0 authentication for MCP endpoints.
  • We maintain audit logs of all tool calls.
  • We implement role-based access control (RBAC) for team accounts.

While we take reasonable measures to protect your data, no system is completely secure. You are responsible for the security of your own data sources and for configuring appropriate access controls within your infrastructure.

8. Availability and Support

  • We aim to provide reliable and available service but do not guarantee uninterrupted access.
  • Scheduled maintenance windows will be communicated in advance when possible.
  • Support is provided based on your plan tier (community, standard, or priority).

9. Intellectual Property

  • The Service, including its design, features, code, and documentation, is owned by Datatape and protected by intellectual property laws.
  • Your tool definitions, SQL templates, and data remain your intellectual property.
  • We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

10. Third-Party AI Clients

The Service is designed to interoperate with third-party AI clients (e.g., Claude, ChatGPT, Cursor) via the MCP protocol. Datatape is not responsible for:

  • How third-party AI clients use, store, or process the data returned by your tools.
  • The accuracy, behavior, or reliability of third-party AI clients.
  • Any actions taken by AI agents based on tool responses.

You are responsible for reviewing the privacy and data handling policies of any AI client you connect to your MCP endpoints.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DATATAPE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, DATATAPE DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, error-free, or free of harmful components.
  • Query results returned by your tools will be accurate, complete, or reliable — the accuracy of results depends on your SQL templates, tool configurations, and the underlying data in your connected sources.
  • The Service will be compatible with all third-party AI clients or MCP implementations.
  • Any defects in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATATAPE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of data, revenue, profits, or business opportunities.
  • Damages arising from unauthorized access to your data sources through compromised credentials.
  • Any actions taken by AI agents or clients based on data returned by the Service.
  • Errors in query results caused by your SQL templates or tool configurations.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DATATAPE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Datatape, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party rights.
  • The data you make accessible through the Service.

14. Termination

  • We may suspend or terminate your account if you violate these Terms.
  • Upon termination, your right to use the Service ceases immediately.
  • We will delete your data source credentials promptly upon termination.
  • Sections that by their nature should survive termination (e.g., Disclaimer of Warranties, Limitation of Liability, Indemnification) will survive.

15. Force Majeure

Datatape shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions or orders, labor disputes, power outages, internet or telecommunications failures, denial-of-service attacks, and failures of third-party infrastructure providers (including but not limited to cloud hosting, compute, and database services upon which the Service depends). During any such event, Datatape's obligations under these Terms will be suspended for the duration of the event.

16. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after the effective date of modified Terms constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

18. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Datatape.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
